What a marketing agency can and cannot do

Can a marketing agency incorporate my US company?

No. Incorporation is a legal filing made with a US Secretary of State, and it requires a formation agent, a registered agent with a physical in-state address, and signed formation documents. Marketing agencies are not authorised to file or maintain them. That work belongs to an operations enablement partner or US counsel.

Can a GTM agency open a US business bank account for us?

No. US banks apply KYC and beneficial-ownership rules to the entity's officers and owners. They need formation documents, an EIN, a US address and identity verification for signatories. A GTM agency has no standing in that process.

Can an agency act as our registered agent?

Almost never. A registered agent must have a physical street address in the state of formation and be available during business hours to accept service of process. It is a regulated compliance role, not a marketing service.

Can a marketing agency file our state tax registrations?

No. Sales-and-use tax, employer withholding and unemployment insurance registrations are filed per state by the entity or its authorised agent, and getting them wrong creates penalties that no campaign can offset.

Can an agency run US payroll for our first hires?

No. US payroll requires an employer of record or a registered employing entity with federal and state tax accounts, workers' compensation coverage and compliant onboarding. This is an HR and compliance function.

So what can a marketing agency do?

Plenty, once the entity exists: positioning, demand generation, paid media, content, SEO and sales enablement. The point is sequencing, not value — those programmes simply cannot invoice, hire, ship or bank on your behalf.

What should the first hire or vendor be for US expansion?
